1. Scope
These terms apply to all contracts between Youssef Tayachi ("Frostbreaker", "we") and business customers (B2B) regarding use of the Frostbreaker software for researching, enriching, verifying, and personalizing B2B contact data.
2. Formation of contract
A contract is formed once we issue an individual offer following a demo call and the customer accepts it in writing (including by email).
3. Scope of service
Frostbreaker provides software that lets customers research companies, identify contacts with email addresses, verify them, and generate personalized copy automatically. The data sources used (e.g. Google Places, Hunter) may change.
4. Bring Your Own Key (BYOK)
Customers provide their own third-party API credentials (e.g. mapping, email enrichment, AI text generation) and bear the resulting third-party costs themselves. An individually agreed usage fee for Frostbreaker applies in addition.
5. Customer obligations
The customer is solely responsible for contacting researched leads in line with the direct-marketing rules that apply to them. Frostbreaker provides a tool but does not review the legal permissibility of individual customer campaigns.
6. Availability
We aim for high availability but do not guarantee any specific uptime. We give no warranty for the availability of third-party services (e.g. Hunter, OpenAI).
7. Liability
We are liable without limitation for intent and gross negligence and under mandatory statutory provisions. Otherwise, liability is limited to damage typically foreseeable under the contract.
8. Term and termination
Term and notice periods are set out in the relevant individual offer.
9. Final provisions
Austrian law applies, excluding the UN Convention on the International Sale of Goods. Venue is Vienna, to the extent permitted by law.
